ARTICLE 1. NAME, MISSION, VISION AND BUSINESS AREA SECTION 1.1 VISION

1.2. The vision of "The Association” shall: Be a powerful advocate for our stakeholders’ interests within the global technology industry.

1.2 PURPOSE - BDPA is the premier organization focused on developing and empowering diverse working professionals and future IT leaders in the Science, Technology, Engineering, and Math (STEM) and digital technology fields.

 

VISION should be removed and replaced with PURPOSE

1.4.1. The objectives of "The Association” will be carried out through six (6) business areas:

1.4.1.4. Membership Management
1.4.1.5. Strategy and Planning
1.4.1.6. Infrastructure and Technical Support

ARTICLE 2. THE NATIONAL BOARD OF DIRECTORS SECTION 2.2. COMPOSITION

2.2.1. The NBOD shall consist of the elected officers defined in Article 5 Section 5.1, and the Founder. Up to three Directors at Large and the Executive Director may sit on the NBOD but shall not be entitled to a vote.

2.2.1. The NBOD shall consist of the elected officers defined in Article 5 Section 5.1, and the Founder. Up to three Directors at Large shall have voting rights.

 

Executive Director is an employee therefore does not need voting rights

ARTICLE 3. MEMBERSHIP SECTION 3.2.1.2. STUDENT MEMBERS

3.2.1.2 Student Members - A registered student at an accredited educational institution who has paid membership dues to "The Association" and the chapter.

3.2.1.2 Student Members - A registered FULL TIME student at an accredited educational institution who has paid membership dues to "The Association" and the chapter.

 

Aligns to the independent age of federal financial aid status eligibility

ARTICLE 5 NATIONAL OFFICERS  5.3. ELIGIBILITY

5.3.1 The office of President, Vice President and Vice President of Finance shall be restricted to members in good standing of a chapter in good standing

5.3.1 The office of President, Vice President and Vice President of Finance shall be restricted to members in good standing of a chapter in good standing. All of these Officers may be bonded.

 

In following industry best practices, these officials should have the D&O bonding, however depending on the state of the organization, we may choose not to follow through.

ARTICLE 5. NATIONAL OFFICERS  5.7.  VACANCIES

5.7. Vacancies

5.7.1. For the position of Vice President, and Vice President of Finance: if less than one year is remaining to be served as a result of the vacancy, position shall be filled by appointment by the NEC and approved by the NBOD by a majority vote of the Board members present at a NBOD and the candidate will serve the remainder of the vacant term.

5.7.2. For the position of Vice President, and Vice President of Finance: if more than one year is remaining to be served as a result of the vacancy, the NBOD shall call a special election. This rule applies except when the next scheduled National Delegates meeting is scheduled within the next 120 days.

5.7.3. For the appointed offices, vacancy shall be filled by appointment by the NEC and approved by the NBOD by a majority vote of the board members present at a NBOD meeting.

5.7.4. For the position of Regional Vice President and Regional Director: If no candidate is nominated for a particular office or position to be filled at an annual meeting, or if there is no candidate by reason of death or of any other cause, the Board of Directors shall fill the vacancy by a majority vote at its next meeting following the annual meeting of “The Association”.

5.7. Vacancies

5.7.1. In the absence of, or in the event of his/her inability or refusal to act, it shall then be the responsibility of the Vice President to perform all the duties of the President, and in doing so shall have all authority and powers of, and shall be subject to all of the restrictions on, the President. 5.7.2. For the position of Vice President, and Vice President of Finance: if less than one year is remaining to be served as a result of the vacancy, position shall be filled by appointment by the NEC and approved by the NBOD by a majority vote of the Board members present at a NBOD and the candidate will serve the remainder of the vacant term.

5.7.3. For the position of Vice President, and Vice President of Finance: if more than one year is remaining to be served as a result of the vacancy, the NBOD shall call a special election. ARTICLE 12.. AMENDMENT OF BYLAWS   12.1 PROPOSAL FOR AMENDMENTS 

12.1.1. A proposed amendment may be submitted to the NBOD from either a chapter in good standing or the NEC. The proposed amendment shall be submitted accompanied by the minutes of the chapter meeting at which the chapter membership voted to submit the amendment

12.1.1. A proposed amendment may be submitted to the NBOD from a member in good standing or the NEC.

 

Statement should be removed as all members should have the right to submit amendments.
